04Enquiries, Consultations, and Quotations
You may contact RankPandas to request information, discuss your business objectives, or obtain a quotation.
Submitting an enquiry or booking a strategy call does not automatically establish a client relationship or guarantee that we will accept the project.
Any quotation or proposal we provide may specify:
- The services included.
- Deliverables and expected timelines.
- Fees and payment terms.
- Client responsibilities.
- Reporting arrangements.
- Contract duration and termination conditions.
- Any exclusions, limitations, or additional charges.
A quotation is subject to the validity period and conditions stated in the document. If no validity period is specified, we may confirm or revise the quotation before accepting the project.
A service engagement begins when both parties have accepted the applicable proposal, contract, or other agreed terms.
05Scope of Services
We provide services based on the agreed scope of work.
Unless otherwise agreed in writing, work outside the agreed scope may require a separate quotation, additional payment, or revised delivery schedule.
Examples of work that may fall outside an existing agreement include:
- Additional website pages or development features.
- Extra content, creative assets, or advertising campaigns.
- Significant changes to an approved strategy or project brief.
- Additional revisions beyond the agreed allowance.
- New integrations, platform migrations, or technical work not included in the original scope.
We will communicate material changes to the scope, fees, or timeline for agreement before proceeding with the additional work.
06Fees and Payments
The fees, billing schedule, payment deadlines, and applicable taxes for our services will be set out in the relevant proposal, invoice, or service agreement.
Unless otherwise agreed in writing:
- Clients must pay invoices by the stated due dates.
- Project work may depend on receipt of the agreed deposit, advance payment, or other required payment.
- Additional work outside the agreed scope may incur additional fees.
- Advertising spend, third-party subscriptions, software licences, hosting, domain registration, influencer fees, and other external costs are separate from our service fees unless expressly included.
- Clients are responsible for charges incurred through third-party accounts they own or authorise us to use.
If payment is overdue, we may issue a reminder and, where permitted by the applicable agreement and law, suspend affected services after providing reasonable notice.
Any applicable late-payment charges, refunds, deposits, or cancellation fees will be governed by the agreed contract and applicable law. We will not treat a fee or penalty as payable merely because it is mentioned in these Terms where the relevant agreement or law does not permit it.
07Client Responsibilities
Successful delivery often depends on timely cooperation between RankPandas and the client.
Clients agree to:
- Provide accurate business information, objectives, and project requirements.
- Supply necessary content, brand assets, approvals, and other materials in a timely manner.
- Provide appropriate access to websites, hosting, analytics, advertising platforms, and other relevant accounts.
- Ensure they have the necessary rights and permissions to use materials supplied to us.
- Review drafts, designs, reports, and other deliverables within agreed timeframes.
- Identify errors, request revisions, and approve work promptly.
- Comply with applicable laws and the policies of relevant third-party platforms.
- Maintain control over their business decisions, customer relationships, and any accounts that they own.
Delays in receiving required information, approvals, or access may affect project timelines and results. We will communicate material delays and agree on reasonable adjustments where necessary.
08SEO and Digital Marketing Results
RankPandas uses research, strategy, optimisation, testing, and performance analysis to improve clients' online visibility and marketing effectiveness.
However, SEO and digital marketing outcomes depend on many factors, including competition, website condition, industry demand, search engine algorithms, advertising budgets, customer behaviour, and changes to third-party platforms.
Accordingly:
- We do not guarantee specific search engine rankings or permanent first-page positions.
- We do not guarantee a particular volume of traffic, leads, sales, conversions, revenue, or return on advertising spend.
- We cannot guarantee that a search engine will index or display every page or piece of content.
- We cannot guarantee approval of advertisements, influencer partnerships, or third-party listings.
- We cannot guarantee that a specific marketing strategy will produce a particular commercial outcome.
Any projections, forecasts, case studies, estimates, or performance examples we provide are for planning and informational purposes unless expressly stated otherwise in a written agreement.
We aim to deliver the agreed services professionally and use reasonable efforts to pursue the objectives established with each client.
09Third-Party Platforms and Services
Our services may involve third-party platforms, including search engines, advertising networks, social media platforms, website hosting providers, content management systems, analytics tools, and software applications.
These platforms are operated independently of RankPandas and may change their policies, functionality, pricing, eligibility requirements, or technical systems at any time.
We are not responsible for decisions or actions taken independently by third-party providers, including:
- Search ranking changes or algorithm updates.
- Advertising account restrictions, suspensions, or disapprovals.
- Platform outages or technical failures.
- Changes to advertising costs, features, or targeting options.
- Third-party data loss or security incidents outside our reasonable control.
- Changes to third-party tools, APIs, or integrations.
Where a third-party change affects a project, we will use reasonable efforts to explain the impact and discuss appropriate next steps within the agreed scope.
Third-party services may be subject to their own terms, conditions, and privacy policies. Clients are responsible for reviewing those terms where applicable.
10Intellectual Property Rights
10.1 Our Website and Materials
Unless otherwise stated, the content on our website, including text, graphics, branding, layouts, original designs, and other materials, belongs to RankPandas or is used under appropriate permission or licence.
You may view and use this content for personal or internal business reference. You may not reproduce, distribute, modify, publish, sell, or commercially exploit our content without permission, except where permitted by law.
10.2 Client Materials
Clients retain ownership of the materials they provide to us, subject to any third-party rights and applicable licence terms.
By supplying materials for a project, clients grant RankPandas permission to use, reproduce, modify, and process those materials as reasonably necessary to deliver the agreed services.
Clients confirm that they have the necessary rights, permissions, and licences for the materials they supply.
10.3 Project Deliverables
Ownership and usage rights for content, designs, websites, code, campaign assets, and other deliverables will be determined by the applicable service agreement.
Where no separate ownership terms have been agreed, ownership of bespoke deliverables intended for the client will transfer only to the extent agreed in writing and subject to full payment of the applicable fees and any third-party licence restrictions.
RankPandas retains ownership of its pre-existing tools, templates, methods, processes, frameworks, and general know-how used to produce the deliverables.
Third-party assets, fonts, software, stock images, plugins, and other licensed materials remain subject to their respective licence terms.
11Website Development and Maintenance
For website design, development, optimisation, or migration projects, the agreed scope will specify the relevant deliverables and responsibilities.
Unless expressly included in the agreement, our services do not automatically include ongoing hosting, domain renewal, software subscriptions, continuous maintenance, security monitoring, backups, or unlimited future updates.
Clients are responsible for maintaining appropriate access to their domain, hosting, website, and business accounts unless a different arrangement has been agreed.
We will take reasonable care when performing agreed technical work. However, no website can be guaranteed to remain free from errors, security vulnerabilities, interruptions, or compatibility issues.
Clients should maintain appropriate backups and ensure that ongoing maintenance responsibilities are clearly agreed.
12Advertising Budgets and External Costs
For paid advertising, influencer marketing, public relations, and other third-party campaigns, the agreed service fees may be separate from advertising budgets and external expenses.
Unless otherwise agreed in writing:
- Clients are responsible for funding their advertising accounts and paying third-party charges.
- Advertising spend is subject to the platform's billing and refund policies.
- External media placements, influencer fees, production expenses, and paid tools may require separate approval and payment.
- Campaign performance may vary and is not guaranteed.
We will identify material external costs within the proposal or communicate them for approval where reasonably practicable.
13Confidentiality
Both parties may receive confidential business information during a project, including marketing strategies, customer information, financial details, account credentials, internal documents, and business plans.
Each party agrees to take reasonable steps to protect the other party's confidential information and use it only for the relevant business purpose.
Confidential information may be disclosed where required by law, to authorised professional advisers, or to service providers who need it to perform agreed work, subject to appropriate confidentiality obligations where applicable.
Information that is publicly available through no breach of these Terms, already lawfully known, independently developed, or lawfully received from another source may not be treated as confidential.
Any additional confidentiality obligations will be governed by the relevant written agreement.
14Privacy and Data Protection
Our collection and use of personal information through the website are described in our Privacy Policy.
By using the website, you acknowledge that you can review our Privacy Policy to understand how we handle personal information.
Where RankPandas processes personal information on behalf of a client, the parties will comply with their applicable legal obligations and any relevant contractual data protection arrangements.
Clients are responsible for ensuring they have the appropriate authority and legal grounds to provide personal information to us and to instruct us to process it.
15Testimonials, Case Studies, and Portfolio Use
We may request permission to feature a client's name, logo, testimonial, or project results in our portfolio, marketing materials, or case studies.
Unless otherwise agreed in writing, we will seek the client's permission before publicly identifying them as a client or publishing confidential project information.
Where permission is provided, the client confirms that they are authorised to grant the relevant use rights.
We will not knowingly present performance figures or testimonials in a misleading manner.
16Suspension and Termination of Services
The duration, renewal, cancellation notice, and termination conditions for a client engagement will be governed by the relevant service agreement.
A party may terminate an engagement in accordance with the applicable agreement.
Where no specific procedure has been agreed, the parties should communicate in writing to discuss a reasonable termination arrangement, including outstanding work, payments, access, and handover requirements.
We may suspend or terminate services where reasonably necessary and legally permitted if:
- The client materially breaches the applicable agreement and fails to remedy the breach within a reasonable period after notice, where a remedy is possible.
- Payments remain overdue after any required notice.
- The client requests unlawful, fraudulent, or prohibited activity.
- Continuing the work would create a material security, legal, or platform-compliance risk.
- A third-party platform or service becomes unavailable in a way that prevents the agreed work from continuing.
Where appropriate, we will provide notice and an opportunity to resolve the issue before suspension or termination.
On termination, the parties will settle outstanding amounts and arrange any agreed handover of completed deliverables and relevant access. Refunds, work in progress, and prepaid fees will be handled according to the service agreement and applicable law.
17Limitation of Liability
To the extent permitted by applicable law, RankPandas will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of anticipated profits, revenue, business opportunities, or goodwill.
We are not responsible for losses caused by circumstances outside our reasonable control, third-party platform decisions, inaccurate information supplied by clients, or unauthorised actions by others.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law. Nothing in these Terms limits any consumer or other statutory rights that cannot lawfully be excluded.
Any further limitation of liability, including financial caps, will apply only where properly agreed in the relevant service contract and permitted by applicable law.
18Indemnification
To the extent permitted by applicable law, clients are responsible for claims, losses, or expenses arising directly from materials or instructions they supply that infringe third-party rights, violate applicable law, or are used without the necessary permissions.
This does not make a client responsible for claims caused by RankPandas' own breach of contract, unlawful conduct, or other liability that cannot legally be transferred or excluded.
Any additional indemnity obligations must be expressly agreed in the relevant service contract.
19Force Majeure
Neither party will be considered in breach solely because it is prevented or materially delayed from performing an obligation by an event beyond its reasonable control.
Such events may include natural disasters, severe infrastructure failures, widespread internet outages, government restrictions, civil emergencies, or major third-party service disruptions.
The affected party will notify the other party where reasonably possible and take reasonable steps to reduce the impact. Payment obligations for services already delivered remain subject to the applicable agreement and law.
20Changes to These Terms
We may update these Terms to reflect changes to our website, services, business practices, or legal obligations.
The updated version will be published on this page with a revised effective date.
Changes to website-use terms generally apply from the date they are published, subject to applicable law. Changes to an existing client engagement will be governed by the applicable contract and any required agreement between the parties.
We encourage you to review this page periodically.
21Governing Law and Dispute Resolution
These Terms will be governed by the laws of Sri Lanka, subject to any mandatory legal protections or rules that apply to the relevant user or transaction.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions.
If the dispute cannot be resolved informally, either party may pursue the remedies available through the competent courts or other appropriate dispute resolution procedures under applicable law.
Nothing in this section prevents a party from seeking urgent legal relief where appropriate.
22Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
The invalid provision will be interpreted or limited only as far as necessary to give effect to the parties' lawful intentions, where legally possible.
23Entire Agreement
These Terms govern your general use of the RankPandas website.
For paid services, a signed contract, accepted proposal, statement of work, or other written agreement may contain additional terms specific to the engagement. If a provision in that agreement conflicts with these general Terms, the specific agreement will take precedence for that engagement to the extent of the conflict, subject to applicable law.
Failure to enforce a provision immediately does not automatically constitute a waiver of that provision.
